These Terms of Service ("Terms") govern your access to and use of the website investorcalls.ai (the "Site") and the AI voice agent services (the "Services") provided by AI Investor Calls, operated by JAD Enterprises ("we," "us," or "our"). By accessing the Site or using the Services, you agree to be bound by these Terms.
1. Services Overview
AI Investor Calls provides AI-powered voice agents that contact prospective investors on behalf of our clients. Our Services include:
- •Custom AI agent creation and knowledge base development
- •AI voice calling to client-provided investor lead lists
- •Call recording, transcription, and result classification
- •Client portal access for managing leads, reviewing results, and exporting data
- •Demo call experiences for prospective clients
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. By using the Services, you represent that you have the necessary rights and authority to provide lead data and authorize AI calls to be placed on your behalf.
3. Client Onboarding
To begin using the Services, clients must:
- •Complete the AI Agent Client Questionnaire with accurate information about their offering
- •Pay the one-time Agent Creation & Knowledge Base fee ($2,500)
- •Provide any required offering documents (PPM, pitch deck, etc.)
- •Review and approve the completed AI agent before it goes live
We reserve the right to decline any prospective client at our sole discretion.
4. Fees & Payment
- •Agent Creation Fee: A one-time fee of $2,500 is required to build your custom AI agent and knowledge base. This fee is non-refundable once agent development begins.
- •Platform Fee: A recurring monthly fee applies for continued use of the platform, portal access, and agent maintenance. Current pricing is listed on the Pricing page.
- •Call Credits: Calling minutes are purchased separately. Unused credits do not expire while the account is active.
- •Payment Processing: All payments are processed through Stripe. By making a payment, you agree to Stripe's terms of service.
5. Client Responsibilities
As a client, you agree to:
- •Provide accurate and truthful information in the questionnaire and offering documents
- •Ensure that lead lists you provide were obtained lawfully and in compliance with applicable regulations
- •Scrub lead lists against the National Do Not Call Registry before submission, where required by law
- •Comply with all applicable securities laws, including SEC regulations, when offering investments
- •Not use the Services for any unlawful, fraudulent, or deceptive purpose
- •Maintain the confidentiality of your portal login credentials
6. Call Recordings & Data Ownership
- •All calls made through the platform are recorded and transcribed.
- •Call recordings, transcripts, summaries, and classification data are accessible to clients through the client portal.
- •Client-provided lead data remains the property of the client.
- •We retain the right to use anonymized and aggregated call performance data to improve our AI models, optimize call flows, and report platform-level statistics.
- •Each client's data is isolated — no client can access another client's leads, results, or recordings.
7. AI Disclosure
Our AI voice agents are designed to conduct natural, human-like conversations. If directly asked, the agent will identify itself as an AI assistant. The agent will never claim to be human when directly questioned. By using our Services, you acknowledge that calls are placed by AI voice technology, not human callers.
8. Calling Compliance
- •Calls are placed during business hours only: 8:00 AM — 7:00 PM CST, Monday through Friday.
- •Do Not Call (DNC) requests are honored immediately and permanently.
- •Dedicated phone numbers with proper caller ID are assigned to each client.

9. Demo Calls
- •Demo calls are provided free of charge for evaluation purposes.
- •Demo calls are limited to 3 per phone number and 3 per email address.
- •Email confirmation is required before a demo call is placed.
- •Demo call recordings and data are stored separately from production client data.
10. Intellectual Property
All content on the Site — including text, graphics, logos, images, and software — is the property of AI Investor Calls and JAD Enterprises, or their respective licensors, and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on the Site without our prior written consent.
The AI agent conversation flows, knowledge bases, and testing methodologies developed as part of the Services are proprietary to AI Investor Calls. Client-specific content (offering details, FAQs, objection responses) provided by the client remains the client's intellectual property.
11. Limitation of Liability
To the fullest extent permitted by law, AI Investor Calls and JAD Enterprises shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or Services.
We do not guarantee specific investment outcomes, conversion rates, or call performance results. The Services are tools for investor outreach — actual investment decisions are made between the client and their prospects. We are not a registered broker-dealer, investment adviser, or financial institution.
Our total liability for any claim arising from the Services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless AI Investor Calls, JAD Enterprises, and their officers, directors, and employees from any claims, damages, or expenses arising from: (a) your use of the Services; (b) your violation of these Terms; (c) the content or accuracy of information you provide in the questionnaire or offering documents; or (d) any securities law violations related to your investment offering.
13. Termination
- •Either party may terminate the service relationship with 30 days written notice.
- •We may suspend or terminate access immediately for violation of these Terms or applicable law.
- •Upon termination, client portal access will be revoked. Clients may request export of their data within 30 days of termination.
- •The Agent Creation Fee is non-refundable once development has begun. Unused call credits may be refunded at our discretion.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Collin County, Texas.

16. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.
